About NodeLabs

NodeLabs provides software development, automation, integration, and related business technology services. Information on this website is informational and does not, by itself, create a client relationship or an obligation to provide services.

No Automatic Service Agreement

Submitting a form, sending an email, talking by phone, or scheduling a call does not automatically create a contractual relationship for services or require either party to proceed. These Terms govern website use only.

Specific services, scope, price, deliverables, warranties, timelines, and payment terms will be governed by a separate proposal, statement of work, agreement, invoice, or other written agreement accepted by the parties, where applicable. If that agreement conflicts with these Terms regarding the services, the separate agreement controls.

Ownership and licensing of client deliverables are addressed in the applicable separate service agreement.

No Guarantees

Website descriptions explain intended uses and potential benefits, not guaranteed outcomes. NodeLabs does not guarantee any particular business, revenue, conversion, lead-generation, or financial result. Results from software and automation depend on the client's processes, data, implementation, team participation, market conditions, and other factors, many of which are outside our control.

Third-Party Services

The website may link to third-party services, and NodeLabs solutions may integrate with third-party platforms. Those providers have their own terms, policies, and fees. Unless a separate written agreement provides otherwise, NodeLabs is not responsible for outages, policy changes, pricing changes, or failures caused by third-party services outside our control. This does not exclude responsibility for NodeLabs' own acts or omissions where applicable law or a separate agreement provides otherwise.

Disclaimer of Warranties

We aim to provide useful and accurate information, but the website and its content are provided "as is" and "as available." To the extent permitted by law, NodeLabs disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement relating to the website. Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any liability or rights that cannot be excluded or limited under applicable law. Liability relating to paid services is governed by the applicable separate client agreement.

Indemnification

To the extent permitted by law, you agree to indemnify NodeLabs for reasonable losses, liabilities, and legal expenses arising from third-party claims to the extent caused by your unlawful use of the website, material breach of these Terms, or infringement of another party's rights. This obligation does not apply to the extent a claim results from NodeLabs' own negligence, misconduct, or breach of law.

We will promptly notify you of a covered claim and provide reasonable cooperation. You may participate in its defense. Neither party may agree to a settlement that imposes an admission or nonmonetary obligation on the other without that party's consent, not to be unreasonably withheld.

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, unless a separate client agreement states otherwise for the services it covers. This does not deprive you of protections or rights that apply under mandatory law.

Changes to Terms

We may update these Terms from time to time by posting a revised version on this page and changing the Last Updated date. Changes apply to website use after they take effect, not retroactively. Continued use after an update means you accept the revised Terms, subject to any notice or acceptance required by law. These updates do not change a separate client agreement unless that agreement allows it.
